Platform Features

• Knowledge Base: Automatic extraction and indexing of content from your website and uploaded documents
• Multi-language Support: AI responses in over 45 languages with automatic language detection
• 3D Avatars: Customizable animated avatars to give your agent a visual presence
• Analytics Dashboard: Insights into conversations, customer satisfaction, and agent performance
• Integration Options: Embeddable widgets and API access for seamless integration with your website

Service Availability

We strive to maintain 99.9% uptime for our Services. However, we reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuation of the Services.

To access certain features of our Services, you must create an account. When registering, you agree to:

Account Requirements

• Provide accurate, current, and complete information
• Maintain and promptly update your account information to keep it accurate
• Maintain the security of your password and accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account or any other security breach
• Not share your account credentials with third parties

Account Security

You are responsible for maintaining the confidentiality of your account credentials. We recommend using a strong, unique password and enabling two-factor authentication when available. You agree that you are solely responsible for any activity that occurs under your account, whether or not authorized by you.

Account Termination

We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms, engaged in fraudulent activity, or if required by law. You may also delete your account at any time through your account settings.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations.

Your Responsibilities

• Use the Services in compliance with all applicable laws and regulations
• Ensure that content you upload does not infringe on any third-party rights
• Obtain necessary permissions before using our Services to communicate with end users

• Monitor and moderate conversations as required by your industry regulations

AI Usage Guidelines

Our AI agents are designed to provide helpful information and customer support. You acknowledge that:

• AI responses are generated based on the knowledge base you provide
• AI responses may occasionally contain inaccuracies and should not be relied upon as the sole source of critical information
• You are responsible for reviewing and validating the accuracy of your knowledge base content
• You should clearly disclose to your end users that they are interacting with an AI agent

Certain features of our Services require payment. By subscribing to a paid plan, you agree to the following payment terms:

Subscription Plans

• Billing Cycle: Subscriptions are billed monthly or annually, depending on your chosen plan
• Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless cancelled
• Price Changes: We may change subscription prices with 30 days' notice before your next billing cycle
• Usage-Based Charges: Some features may incur additional charges based on usage

Refund Policy

We offer refunds in the following circumstances:

• 14-Day Guarantee: New subscriptions may be refunded within 14 days of purchase if you are not satisfied with the Services
• Service Disruption: Pro-rata credits may be issued for significant, extended service outages
• Billing Errors: We will correct any billing errors and issue appropriate refunds

Payment Methods

We accept major credit cards and other payment methods as displayed in our checkout process. By providing payment information, you authorize us to charge your selected payment method for all applicable fees.

The Services and their entire contents, features, and functionality are owned by Humanizing Agents, its licensors, or other providers and are protected by intellectual property laws.

Our Intellectual Property

The Humanizing Agents name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Humanizing Agents or its affiliates. You may not use such marks without our prior written permission.

Your Content

You retain all rights to any content you upload, submit, or display through the Services ("Your Content"). By uploading Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display Your Content solely for the purpose of providing the Services to you.

You represent and warrant that:

• You own or have the necessary rights to use and authorize us to use Your Content
• Your Content does not infringe, violate, or misappropriate any third-party rights
• Your Content complies with all applicable laws and regulations

Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Services, you grant us an unrestricted, perpetual, irrevocable license to use such feedback for any purpose without compensation to you.

You agree not to engage in any of the following prohibited activities when using our Services:

Harmful Content

• Upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Use the Services to generate or distribute spam, phishing content, or malware
• Create AI agents that provide false information, impersonate real people, or engage in deceptive practices
• Upload content that promotes violence, discrimination, or illegal activities

Security Violations

• Attempt to gain unauthorized access to the Services, other accounts, or computer systems
• Use automated means to access or scrape the Services without our express permission
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to probe, scan, or test the vulnerability of our systems
• Circumvent any security or authentication measures

Abuse of Service

• Resell, sublicense, or provide access to the Services to third parties without authorization
• Use the Services in any manner that could damage, disable, or impair our servers or networks
• Reverse engineer, decompile, or disassemble any aspect of the Services
• Use the Services to violate the privacy or rights of others

Either party may terminate this agreement at any time, subject to the following terms:

Termination by You

You may cancel your subscription and delete your account at any time through your account settings. Upon cancellation:

• Your access to paid features will continue until the end of your current billing period
• Your data will be retained for 30 days to allow for account recovery
• After 30 days, your data will be permanently deleted

Termination by Us

We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of applicable fees
• Extended period of inactivity
• Request by law enforcement or government agencies

Effect of Termination

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The Services are free of viruses or other harmful components
• The results of using the Services will meet your requirements
• AI-generated responses will be accurate, complete, or appropriate for your use case

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HUMANIZING AGENTS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months prior to the claim, or (b) $100 USD.

Indemnification

You agree to defend, indemnify, and hold harmless Humanizing Agents and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Services or violation of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising from these Terms shall be resolved through the following process:

1. Informal Resolution: First, contact us to attempt to resolve the dispute informally
2. Mediation: If informal resolution fails, the dispute will be submitted to mediation
3. Arbitration: If mediation fails, the dispute will be resolved by binding arbitration in San Francisco, California

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

Jurisdiction

For any matters not subject to arbitration, you agree to submit to the personal jurisdiction of the state and federal courts located in San Francisco County, California.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on this page with a new effective date
• Sending you an email notification at least 30 days before the changes take effect (for material changes)
• Displaying a prominent notice in our application

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Services and cancel your account.
